ROZO Intents - Terms of Service

1. Introduction and Acceptance

By accessing or using the ROZO Intents platform ("Intents," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Intents.

ROZO Intents provides a non-custodial cross-chain intent-based interface that enables users to transfer digital assets between different blockchain networks. The Intents is a decentralized tool that facilitates peer-to-peer transactions through smart contracts.

2. Eligibility

By using the Intents, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You are not located in, or a resident of, any jurisdiction where the use of decentralized intents or cryptocurrency services is prohibited or restricted
  • You are not subject to any sanctions administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or any other applicable sanctions authority
  • Your use of the Intents complies with all applicable laws and regulations in your jurisdiction

3. Description of Services

3.1 Intents Functionality

ROZO Intents enables cross-chain asset transfers between supported blockchain networks. The Service provides:

  • A user interface for initiating cross-chain transfers
  • Integration with smart contracts that execute bridging operations
  • Transaction status tracking and confirmation

3.2 Non-Custodial Nature

IMPORTANT: ROZO Intents is a non-custodial service. We do not:

  • Hold, custody, or control your digital assets
  • Have access to your private keys or wallet credentials
  • Execute transactions on your behalf
  • Provide wallet services

You maintain complete control and responsibility for your digital assets at all times.

4. User Responsibilities

4.1 Wallet Security

You are solely responsible for:

  • Maintaining the security and confidentiality of your wallet private keys, seed phrases, passwords, and any other credentials
  • All transactions initiated from your wallet
  • Ensuring your wallet software is secure and up-to-date
  • Any loss of access to your wallet or private keys

WARNING: Loss of your private keys will result in permanent loss of access to your digital assets. We cannot recover lost private keys or reverse transactions.

4.2 Transaction Verification

Before initiating any transaction through the Intents, you must:

  • Verify all transaction details including destination address, amount, and network
  • Ensure you have sufficient native tokens for gas fees on both source and destination networks
  • Understand that blockchain transactions are irreversible once confirmed
  • Confirm you are sending assets to a compatible wallet address on the destination network

4.3 Compliance Obligations

You agree to:

  • Comply with all applicable laws, regulations, and tax obligations in your jurisdiction
  • Not use the Intents for any illegal activities including money laundering, terrorism financing, fraud, or market manipulation
  • Not use the Intents to transfer proceeds of illegal activities
  • Not engage in any activity that violates sanctions regulations
  • Maintain accurate records of your transactions for tax and regulatory purposes

5. Risks and Disclaimers

5.1 Blockchain and Cryptocurrency Risks

You acknowledge and accept the following risks:

Market Volatility: Cryptocurrency values can fluctuate dramatically. You may experience significant gains or losses.

Irreversible Transactions: Blockchain transactions cannot be reversed. Sending assets to an incorrect address may result in permanent loss.

Network Congestion: High network activity can cause delays and increased gas fees.

Smart Contract Risks: Smart contracts may contain bugs, vulnerabilities, or behave unexpectedly. Smart contract code may be exploited by malicious actors.

Protocol Changes: Underlying blockchain protocols may undergo changes, forks, or upgrades that affect functionality.

Intent-Specific Risks: Cross-chain transfers involve additional complexity and risk compared to single-chain transactions. Assets may be temporarily locked during transfer processes.

Regulatory Risk: Cryptocurrency regulations are evolving. Future regulatory changes may impact your ability to use the Intents or access your assets.

5.2 No Investment Advice

The Intents provides technical infrastructure only. We do not provide:

  • Investment, financial, legal, or tax advice
  • Recommendations on which assets to transfer or when to transact
  • Suitability assessments for your financial situation
  • Guarantees of profitability or asset appreciation

All transactions are unsolicited and self-directed. You should consult appropriate professional advisors before using the Intents.

5.3 Third-Party Dependencies

The Intents relies on third-party infrastructure including:

  • Blockchain networks and their validators
  • Wallet providers
  • RPC endpoints and node operators
  • Oracle services
  • Liquidity providers

We are not responsible for failures, downtime, or issues with any third-party services.

6. Fees

6.1 Intent Fees

The Intents may charge fees for cross-chain transfers. All applicable fees will be displayed before you confirm a transaction.

6.2 Network Fees

You are responsible for all blockchain network fees (gas fees) required to execute transactions on source and destination chains. These fees are paid directly to network validators and are not controlled by us.

6.3 Variable Costs

Gas fees and other network costs can vary significantly based on network congestion and other factors beyond our control. We do not guarantee any specific fee amounts.

7. Service Availability

7.1 No Uptime Guarantee

The Intents is provided on an "as available" basis. We do not guarantee:

  • Continuous, uninterrupted, or error-free operation
  • Availability of any specific blockchain network or asset
  • Specific transaction processing times
  • That the Intents will meet your requirements

7.2 Maintenance and Updates

We may perform maintenance, updates, or modifications to the Intents at any time, with or without notice. Such activities may temporarily limit or prevent access to the Intents.

7.3 Right to Modify or Discontinue

We reserve the right to modify, suspend, or discontinue any aspect of the Intents at any time, including:

  • Adding or removing supported networks or assets
  • Changing fee structures
  • Modifying functionality
  • Terminating the Service entirely

8. Intellectual Property

8.1 Ownership

All intellectual property rights in the Intents interface, including but not limited to software, text, graphics, logos, and trademarks, are owned by Rozo or our licensors.

8.2 License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Intents interface for its intended purpose, subject to these Terms.

8.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Intents
  • Reverse engineer, decompile, or disassemble any software
  • Remove or alter any proprietary notices
  • Use the Intents for any commercial purpose without authorization
  • Frame or mirror any part of the Intents without written permission

9. Prohibited Activities

You agree not to:

  • Use the Intents to violate any laws, regulations, or these Terms
  • Interfere with or disrupt the Intents or its infrastructure
  • Attempt to gain unauthorized access to the Intents or related systems
  • Use automated tools (bots, scripts, crawlers) to access the Intents without permission
  • Transmit viruses, malware, or other malicious code
  • Impersonate any person or entity
  • Engage in wash trading, spoofing, or market manipulation
  • Use the Intents to transfer assets you do not lawfully own
  • Circumvent any security features or access controls

10. Limitation of Liability

10.1 No Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROZO INTENTS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Loss of digital assets due to user error, wallet compromise, or network issues
  • Failures of third-party services or infrastructure
  • Smart contract bugs, exploits, or vulnerabilities
  • Transaction delays, failures, or incorrect routing
  • Unauthorized access to your wallet or accounts
  • Any damages arising from your use of or inability to use the Intents

10.2 Maximum Liability

Our total liability is limited to the total fees paid by you to us in the three (3) months prior to the claim, as this helps us keep the service non-custodial and low-fee for all users.

10.3 Basis of the Bargain

You acknowledge that the disclaimers and limitations in this Section 10 are fundamental elements of the agreement between you and us, and that we would not provide the Intents without these limitations.

11. Indemnification

You agree to indemnify, defend, and hold harmless ROZO Intents and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Intents
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of any third-party rights
  • Any transactions you initiate through the Intents

12. Disclaimer of Warranties

THE INTENTS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding security, accuracy, reliability, or availability
  • Warranties that the Intents will be error-free or that defects will be corrected
  • Warranties regarding the results of using the Intents

We make no representations or warranties regarding the accuracy, completeness, or timeliness of any information displayed through the Intents.

13. Privacy

Your use of the Intents is also governed by our Privacy Policy. By using the Intents, you consent to the practices described in the Privacy Policy.

ROZO Intents does not collect personal data related to your blockchain transactions. Any data we collect is limited to technical information necessary for Service operation.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting updated Terms with a new "Last Updated" date
  • Displaying a notice through the Intents interface
  • Sending notice to any contact information you have provided

Your continued use of the Intents after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Intents.
